Terms of Service

Welcome to Orea. Orea ("Orea") is a service offered by First Commit LLC, a New York limited liability company ("First Commit," "Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Orea mobile application, the website at oreadating.com, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service. We may update these Terms from time to time, and your continued use of the Service after any changes constitutes acceptance of the revised Terms.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years of age to use Orea. By using the Service, you represent and warrant that:

• You are at least 18 years old
• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Service under any applicable law
• You have not previously been banned or removed from the Service
• You do not have any unresolved felony convictions or convictions for sex offenses, violent crimes, or offenses involving fraud

Orea is not intended for use by anyone under 18, and we do not knowingly collect information from minors. If we learn that a user is under 18, we will terminate their account and delete their data promptly.

3. Account Creation and Security

To use Orea, you must create an account using your phone number and provide accurate, complete, and current information, including your real name, date of birth, and birth details (date, time, and location) for astrological profile computation. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You agree to:

• Provide truthful, accurate, and complete information in your profile
• Maintain and promptly update your information as needed to keep it current
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized access to or use of your account
• Not create more than one account per person
• Not create an account on behalf of another person without their explicit permission
• Not transfer or assign your account to any third party

We authenticate users via phone-based one-time password (OTP) verification. You are solely responsible for any activity conducted through your account, whether or not authorized by you.

4. User Content and Photos

4.1 License Grant

You retain ownership of all content you upload to Orea, including photos, profile text, and messages. By uploading content, you grant Orea a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, display, reproduce, modify, adapt, and distribute your content solely in connection with operating, developing, and providing the Service. This license ends when you delete your content or account, except where your content has been shared with other users and they have not deleted it.

4.2 Content Responsibility

You are solely responsible for the content you post and represent that you own or have the necessary rights to share all content you upload. You agree that your content does not and will not violate the rights of any third party, including intellectual property rights and privacy rights.

4.3 Prohibited Content

You agree not to upload or share content that:

• Contains nudity, sexually explicit material, or pornography
• Depicts violence, gore, or graphic imagery
• Promotes hatred, discrimination, or bigotry against any individual or group
• Contains personal information of another person without their consent
• Is fraudulent, deceptive, or misleading (including photos that are not of you)
• Infringes on any copyright, trademark, or other intellectual property right
• Contains spam, advertising, or commercial solicitation
• Includes malware, viruses, or other harmful code
• Depicts illegal activities or promotes illegal behavior

We reserve the right to remove any content that violates these Terms at our sole discretion, with or without notice.

5. Community Guidelines

Orea is built on mutual respect and genuine connection. By using the Service, you agree to treat all users with dignity and respect. The following behaviors are strictly prohibited:

• Harassment and abuse: Threatening, bullying, intimidating, stalking, or sending unwanted or repeated messages to any user
• Hate speech: Content or behavior that attacks individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic
• Impersonation: Pretending to be someone you are not, using another person's photos, or creating fake profiles
• Scams and fraud: Soliciting money, promoting pyramid schemes, or engaging in any form of fraud or deception
• Spam: Sending bulk messages, promoting external products or services, or using the Service for commercial purposes
• Unsafe behavior: Sharing personal contact information publicly, encouraging unsafe meetings, or any behavior that compromises user safety
• Minors: Engaging with or attempting to engage with anyone under 18 years of age

Violations of these guidelines may result in warnings, temporary suspension, or permanent removal from the platform at our sole discretion. You can report concerning behavior directly through the app or by contacting us at support@oreadating.com.

6. Astrology Features Disclaimer

Orea uses your birth chart data (date, time, and location of birth) to calculate astrological profiles and compatibility scores. These features are central to the Orea experience, but it is important that you understand the following:

• Astrological insights, compatibility scores, daily horoscopes, and all astrology-related content provided through the Service are for entertainment and informational purposes only
• Astrology content does not constitute professional advice of any kind, including relationship, psychological, medical, legal, or financial advice
• Compatibility scores and match recommendations are generated algorithmically and should not be relied upon as the sole basis for personal decisions about relationships
• Horoscope content may be generated using artificial intelligence technology and is not produced by certified astrologers
• Orea makes no claims about the scientific validity or predictive accuracy of astrological information

You acknowledge that your use of astrology features is at your own discretion and that Orea bears no responsibility for decisions made based on astrological content.

7. Photo Verification

Orea may offer optional or required photo verification to help confirm that your profile photos genuinely represent you. By participating in photo verification, you acknowledge and agree that:

• Verification photos may be analyzed using automated image recognition technology, including third-party services such as AWS Rekognition
• Verification is designed to reduce catfishing and impersonation, but does not guarantee a user's identity, intentions, or background
• Verification photos are stored securely and processed solely for authentication purposes
• A verified badge does not constitute an endorsement or guarantee by Orea regarding any user
• You must submit your own photos for verification; submitting another person's photos is a violation of these Terms and will result in account termination

8. Premium Subscriptions and Payments

8.1 Subscription Plans

Orea offers premium features through paid subscription plans and one-time purchases (such as boosts). Subscription tiers, pricing, features, and billing cycles will be presented to you at the point of purchase within the app or on our website.

8.2 Billing and Renewal

Subscriptions are processed through the Apple App Store, Google Play Store, or our third-party billing partner RevenueCat, depending on your platform. By subscribing, you authorize recurring charges at the then-current rate. Subscriptions automatically renew at the end of each billing period (weekly, monthly, or annually) unless you cancel at least 24 hours before the renewal date.

8.3 Cancellation

You may cancel your subscription at any time. To cancel, use the subscription management settings in your device's app store (Apple App Store or Google Play Store) or through your account settings on oreadating.com. Cancellation takes effect at the end of the current billing period; you will retain access to premium features until that date. Orea does not offer prorated refunds for partial billing periods.

8.4 Refunds

Refund eligibility is governed by the refund policies of the applicable app store or payment provider. For purchases made through the Apple App Store, refer to Apple's refund policy. For purchases through Google Play, refer to Google's refund policy. If you believe you are entitled to a refund not covered by those policies, you may contact us at support@oreadating.com and we will review your request on a case-by-case basis.

8.5 Price Changes

Orea reserves the right to change subscription pricing at any time. Price changes will not affect your current subscription period. We will notify you of any price changes before your next renewal date, and your continued subscription constitutes acceptance of the new pricing.

9. Safety and Reporting

Orea is committed to providing a safe environment for all users. We encourage you to report any user who violates these Terms, engages in suspicious activity, or makes you feel unsafe. You can report users directly through the app's reporting feature or by emailing support@oreadating.com.

We review all reports and take appropriate action, which may include warnings, temporary suspensions, or permanent bans. While we invest in safety tools and moderation processes, please be aware that:

• Orea does not conduct criminal background checks on users
• We cannot verify the true identity, background, or intentions of every user
• You are solely responsible for your safety when interacting with other users, both online and in person
• We strongly recommend meeting in public places and informing someone you trust before meeting a match in person

10. Intellectual Property

The Service, including its design, user interface, features, content, astrological algorithms, compatibility scoring systems, and all underlying technology, is the exclusive property of Orea Dating, Inc. and is protected by copyright, trademark, trade secret, and other intellectual property laws.

You agree not to:

• Copy, modify, distribute, sell, or lease any part of the Service
• Reverse engineer, decompile, or disassemble any software or technology used in the Service
• Use automated systems, bots, scrapers, or crawlers to access or extract data from the Service without prior written consent
• Use the Orea name, logo, or branding without prior written authorization
• Create derivative works based on the Service or its content

"Orea," the Orea logo, and all related names, logos, product and service names, designs, and slogans are trademarks of First Commit LLC. All other trademarks are the property of their respective owners.

10A. Copyright Complaints (DMCA Notice)

First Commit LLC respects the intellectual-property rights of others and complies with the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512. If you believe content on the Service infringes a copyright you own or control, please send a written notice that includes all of the following:

• A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.
• Identification of the copyrighted work claimed to have been infringed.
• Identification of the material that is claimed to be infringing, with information sufficient for us to locate it on the Service (e.g., the URL or user profile in question).
• Your contact information (address, telephone number, email).
• A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
• A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf.

We may forward the DMCA notice to the user who posted the allegedly infringing material, and we may take any other action we deem appropriate, including disabling access to or removing the material. Misrepresentations in a DMCA notice may subject the sender to liability under § 512(f).

Counter-notice. If you believe your content was disabled or removed in error or misidentification, you may submit a counter-notice meeting the requirements of 17 U.S.C. § 512(g). Send counter-notices to the same address.

Repeat infringers. It is our policy to terminate the accounts of users who are determined to be repeat infringers.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Orea does not warrant that: (a) the Service will be uninterrupted, secure, or error-free; (b) any defects will be corrected; (c) the Service or the servers that make it available are free of viruses or other harmful components; (d) any matches, connections, or compatibility scores will result in any particular outcome, including successful dates, relationships, or marriages; or (e) astrological content will be accurate or reliable. You use the Service at your sole risk.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Orea Dating, Inc. and its officers, directors, employees, agents, licensors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, use, goodwill, or other intangible losses, resulting from: (a) your access to, use of, or inability to access or use the Service; (b) any conduct, content, or communications of any third party on the Service, including other users; (c) any content obtained from the Service; (d) unauthorized access to, alteration of, or destruction of your transmissions or content; (e) any interactions with other users, whether online or offline; or (f) any other matter relating to the Service. In no event shall Orea's total aggregate liability exceed the greater of (i) the amount you paid to Orea in the twelve (12) months preceding the claim, or (ii) one hundred U.S. dollars ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Orea Dating, Inc. and its officers, directors, employees, agents, and affiliates from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your content; (c) your violation of these Terms; (d) your violation of any rights of another party; or (e) your interactions with other users.

14. Dispute Resolution

14.1 Informal Resolution

Before filing any formal legal action, you agree to first contact us at legal@oreadating.com and attempt to resolve the dispute informally for at least thirty (30) days.

14.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Service shall be finally resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in the English language and held in the State of New York, unless both parties agree to a different location or virtual proceedings.

14.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Orea.

14.4 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Claims within the jurisdiction of small claims court may also be brought in that forum.

15. Termination

15.1 By You

You may delete your account at any time through the app settings or by contacting us at support@oreadating.com. Upon deletion, your profile, content, and data will be removed in accordance with our Privacy Policy.

15.2 By Orea

We may suspend or terminate your account at our sole discretion, with or without notice, if we believe you have violated these Terms, engaged in illegal activity, or pose a risk to other users or the integrity of the Service. We may also terminate accounts that have been inactive for an extended period.

15.3 Effects of Termination

Upon termination, your right to use the Service ceases immediately. Any active subscriptions will not be refunded for the remaining billing period. We may retain certain information as required by law or for legitimate business purposes (such as fraud prevention and legal compliance), as described in our Privacy Policy. Sections 4.1, 11, 12, 13, 14, and 15 of these Terms shall survive termination.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of laws principles. Any legal action not subject to arbitration shall be brought in the state or federal courts located in New York County, New York.

17. Changes to These Terms

We may revise these Terms from time to time at our sole discretion. If we make material changes, we will notify you through the Service (such as an in-app notification), by email, or by other reasonable means at least thirty (30) days before the changes take effect. The "Last updated" date at the top of this page indicates when these Terms were most recently revised. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

18. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Orea regarding the Service
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect
• No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision
• Assignment: We may assign our rights and obligations under these Terms without your consent. You may not assign your rights under these Terms without our prior written consent
